We reserve the right to update these Terms at any time, and your continued use of the Services constitutes acceptance of any changes.

2. Description of Service

ClearVerify provides SMS-based identity and phone number verification services. Our Services are strictly transactional and verification-only in nature. The Services are not intended for and must not be used for marketing, advertising, lead generation, or promotional messaging of any kind.

3. User Registration and Account Security

To access certain features, you may be required to create an account. You agree to provide accurate and complete information during registration and to keep your account credentials confidential. You are responsible for all activity that occurs under your account. You must notify ClearVerify immediately of any unauthorized use of your account.

4. Acceptable Use; Prohibited Conduct; Enforcement

You must comply with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA, 47 U.S.C. § 227), state analogs, and carrier rules. The following activities are strictly prohibited:

• Sending spam or unsolicited messages
• Using the Services for marketing or promotional messaging
• List-building or lead generation activities
• Impersonation of any person or entity
• Harassment, threats, or abusive communications
• Interfering with or disrupting the Services or systems
• Unauthorized access to accounts, systems, or networks

ClearVerify reserves the right to investigate and take appropriate action, including suspension or termination of accounts, for any violation of these Terms.

5. Fees and Payment

Certain Services may require payment of fees. All fees are non-refundable unless otherwise stated. You are responsible for all applicable taxes. ClearVerify may suspend or terminate access to the Services for non-payment.

6. Intellectual Property

All content, trademarks, logos, and intellectual property associated with the Services are owned by ClearVerify or its licensors. You may not copy, modify, distribute, or create derivative works without our prior written consent.

7. User Content and Data

You retain ownership of any data you submit through the Services. By using the Services, you grant ClearVerify a limited license to process your data solely for the purpose of providing the Services.

8. Privacy

Your use of the Services is governed by our Privacy Policy, which describes how we collect, use, and protect your information.

9. Third-Party Services

The Services may integrate with or contain links to third-party services. ClearVerify is not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is at your own risk.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CLEARVERIFY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEARVERIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU TO CLEARVERIFY DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless ClearVerify and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

13. Mandatory Arbitration; Class Action Waiver

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA). You agree to arbitrate claims in your individual capacity only, and waive any right to participate in a class action or class-wide arbitration.

14. Termination

ClearVerify may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease.

15. Modifications to Terms

ClearVerify reserves the right to modify these Terms at any time. Changes will be posted on our website with an updated effective date. Your continued use of the Services after any modifications constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and ClearVerify regarding the Services.

18. Governing Law

These Terms shall be governed by and construed in accordance with the federal and state laws of the United States, without regard to conflict of law principles.

• Message frequency varies based on your use of the verification Services, up to 12 messages per month.
• By opting in to our SMS verification service, you consent to receive transactional verification messages from ClearVerify.
• Message and data rates may apply.
• Text STOP to opt out of SMS verification messages at any time.
• Text HELP for assistance or contact support@clearverify.org.
• ClearVerify is committed to protecting your privacy. We do not share your opt-in information or phone number with third parties for marketing purposes.
• If you have opted out and wish to rejoin, text JOIN to resume receiving verification messages.
